Terms of Service

1. Agreement to Terms

Welcome to Coach Mode (“Service,” “Platform,” “we,” “us,” or “our”). These Terms of Service (“Terms”) constitute a legally binding agreement between you and Coach Mode governing your access to and use of the Coach Mode web application, APIs, and all related services.

By creating an account, accessing, or using Coach Mode, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Service. If you are accepting these Terms on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity.

If you are under the age of 18, a parent or legal guardian must agree to these Terms on your behalf before you use the Service. If you are under 13, see Section 4 (Age Requirements and Minors).

2. Description of the Service

Coach Mode is an AI-assisted tennis coaching platform that allows tennis coaches to upload videos of their students' lessons and matches for analysis. The Service includes:

  • Video Upload and Storage: Coaches upload tennis lesson/match videos to the Platform.
  • AI-Powered Video Analysis: Uploaded videos are analyzed by artificial intelligence (currently Google Gemini) to generate skill ratings across 25+ metrics on a 0-10 scale, feedback, and recommendations.
  • Skill Tracking and Progress: Students and coaches view analysis results, track improvement over time, and receive suggested drills and lesson plans.
  • Three User Roles: Coaches, Students, and Parents (with role-specific access controls).
  • URSI Ratings: An internal, proprietary skill rating system (Universal Rating of Stroke Improvement).
  • Player Development Hub: Personalized roadmaps, goals, and improvement plans.

2.1 Important Disclaimers About the Service

The Service is a coaching TOOL, not a coaching SUBSTITUTE. You acknowledge and agree that:

(a) No Guarantee of Improvement. Coach Mode provides AI-generated analysis and data visualization tools. We do not guarantee that use of the Service will result in improved tennis performance, higher ratings, tournament success, scholarship offers, or any other specific outcome. Athletic development depends on many factors beyond the scope of any analysis tool, including but not limited to physical ability, dedication, quality of coaching, practice frequency, and individual aptitude.

(b) AI Analysis is Supplemental, Not Authoritative. The AI-generated analysis, ratings, feedback, and recommendations provided by the Service are meant to supplement — never replace — the professional judgment of a qualified tennis coach. AI analysis may contain errors, inaccuracies, or incomplete assessments. The AI does not observe context that a human coach can observe (e.g., injuries, fatigue, emotional state, environmental conditions). You should not rely solely on AI analysis for making decisions about training, competition readiness, or athletic development.

(c) Coach Notes are Professional Opinions. Any notes, assessments, or commentary added by a coach through the Platform represent that individual coach's professional opinion. Coach Mode does not verify, endorse, or guarantee the accuracy of coach-provided assessments.

(d) URSI Ratings are Internal Metrics Only. The URSI (Universal Rating of Stroke Improvement) rating is a proprietary internal metric used within Coach Mode. URSI ratings are NOT official UTR (Universal Tennis Rating), NTRP (National Tennis Rating Program), ITF, USTA, or any other sanctioned rating. URSI ratings should not be represented as official ratings to any third party, tournament organizer, college recruiter, or rating body. URSI is an independent calculation that may differ significantly from an actual UTR.

(e) Not Medical, Physical Therapy, or Health Advice. The Service does not provide medical advice, physical therapy, injury diagnosis, fitness prescriptions, or health recommendations. If you experience pain or injury during tennis activities, consult a qualified healthcare professional. Do not use the Service as a substitute for professional medical judgment.

3. Account Registration and Responsibilities

3.1 Account Creation

To use the Service, you must create an account through our authentication provider (currently Clerk). You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security of your password and account credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

3.2 Account Types

Coach Mode supports three account types:

  • Coach Accounts: For tennis coaches and instructors who upload videos, manage students, create lesson plans, and add professional assessments. Coaches are responsible for their coaching relationship with students and for obtaining necessary consents for video recording (see Section 4).
  • Student Accounts: For tennis players who view their own analyses, track progress, and receive coaching recommendations. Students under 18 must have parental/guardian consent.
  • Parent Accounts: For parents or legal guardians of student-players, particularly minors. Parent accounts have visibility controls and access to their linked child's analysis data.

3.3 Coach Responsibilities

If you register as a Coach, you represent and warrant that:

  • You have appropriate qualifications and/or experience to provide tennis instruction.
  • You have obtained all necessary consents from students (and their parents/guardians if the student is a minor) for video recording and upload to the Platform, before uploading any video.
  • You will comply with all applicable laws regarding the recording and digital processing of minors' images and personal information.
  • You will not upload videos containing inappropriate content of any kind.
  • You will use the Platform solely for legitimate tennis coaching purposes.
  • Any notes, ratings, or assessments you provide through the Platform represent your honest professional opinion.

4. Age Requirements and Minors

4.1 Minimum Age

  • Coaches: Must be at least 18 years of age.
  • Parents: Must be at least 18 years of age.
  • Students: Must be at least 13 years of age to create their own account. Students between 13 and 17 must have verifiable parental or legal guardian consent. Students under 13 may only be represented on the Platform as “managed students” added by a Coach or Parent, subject to the requirements in Section 4.2.

4.2 Children Under 13 (COPPA Compliance)

Coach Mode complies with the Children's Online Privacy Protection Act (“COPPA”) and its implementing regulations, as amended. We do not knowingly collect personal information directly from children under 13.

For children under 13 who participate in tennis coaching:

  • No Direct Account Creation: Children under 13 cannot create their own accounts on Coach Mode.
  • Managed Student Profiles: A Coach or Parent may create a “managed student” profile for a child under 13. This profile is controlled entirely by the Coach or Parent.
  • Verifiable Parental Consent Required: Before any video of a child under 13 is uploaded, AI-analyzed, or stored on the Platform, the Coach must have obtained verifiable parental consent through our Digital Consent Form (see our Recording Consent Policy). Coaches represent and warrant that such consent has been obtained prior to uploading any content.
  • Limited Data Collection: For managed students under 13, we collect only information reasonably necessary for the tennis coaching purpose: first name (or initials), age or age range, skill-level data, and video analysis results. We do not collect email addresses, phone numbers, or other direct contact information from children under 13.
  • Parental Rights: Parents may at any time review the personal information collected about their child, request deletion, and refuse further collection. See our Privacy Policy for details.

4.3 Students Ages 13-17

Students ages 13-17 may create their own accounts with parental or legal guardian consent. We recommend that parents create a Parent account and link it to their child's Student account for visibility and oversight. By permitting a minor between 13 and 17 to use the Service, the parent or legal guardian agrees to these Terms on the minor's behalf and accepts responsibility for the minor's use of the Service.

5. User Content

5.1 Your Content

“User Content” means all content that you upload, submit, or transmit through the Service, including but not limited to: videos, images, text, notes, assessments, comments, profile information, and any other materials.

You retain ownership of your User Content. By uploading or submitting User Content to the Service, you grant Coach Mode a limited, non-exclusive, royalty-free, worldwide license to:

  • Store, process, and transmit your User Content as necessary to provide and operate the Service.
  • Process videos through AI analysis providers for the purpose of generating skill analysis.
  • Display User Content to authorized users (the student, their coach(es), and linked parents) in accordance with the Platform's privacy and access controls.
  • Create derivative data (such as skill ratings, analysis text, and statistical summaries) from your User Content for the purpose of providing the Service.

This license is limited to what is necessary to operate the Service and does not grant Coach Mode the right to sell your User Content, use it for advertising purposes, or share it publicly without your consent.

5.2 Content Restrictions

You agree NOT to upload or submit User Content that:

  • Is not related to tennis coaching, instruction, or athletic development.
  • Contains nudity, sexual content, or is otherwise inappropriate, especially involving minors.
  • Depicts physical abuse, dangerous activities, or harm to any person.
  • Infringes upon the intellectual property rights, privacy rights, or other rights of any third party.
  • Contains malware, viruses, or any harmful code.
  • Violates any applicable law or regulation.
  • Contains personal information of third parties without their consent.
  • Depicts individuals who have not consented to being recorded (see Section 6).

We reserve the right to remove any User Content that violates these Terms and to suspend or terminate accounts that repeatedly violate content policies.

5.3 Video Retention

Videos uploaded to Coach Mode are stored on Cloudflare R2 for a limited retention period of fourteen (14) days, after which they are automatically deleted. Analysis data (text-based ratings, summaries, and coaching notes) derived from videos is retained indefinitely unless you request deletion. See our Privacy Policy for full data retention details.

5.4 Feedback

Any feedback, suggestions, ideas, or other information you provide to Coach Mode about the Service (“Feedback”) is non-confidential and we are free to use such Feedback without restriction or obligation to you.

6. Video Recording and Consent

6.1 Responsibility for Recording Consent

Coach Mode does not record videos. Coaches or other users record videos independently and then upload them to the Platform. The person who records and uploads a video is solely responsible for ensuring that all necessary consents have been obtained from all individuals depicted in the video (or their parents/legal guardians if they are minors).

6.2 Coach Attestation

Before uploading any video, Coaches must affirm that they have obtained appropriate consent from:

  • The student depicted in the video (or the student's parent/legal guardian if the student is under 18).
  • Any other identifiable individuals who may appear in the video.

6.3 Bystanders and Third Parties

If a video captures other individuals in the background (e.g., other players on adjacent courts, spectators), the Coach should make reasonable efforts to minimize the capture of identifiable third parties. Coach Mode is not responsible for the presence of third parties in uploaded videos.

6.4 Consent Records

Coaches are encouraged to maintain their own records of consent obtained from students and parents. Coach Mode provides a Digital Consent Form tool that Coaches may use to collect and document consent electronically. See our Recording Consent Policy for detailed requirements and our recommended consent workflow.

7. Acceptable Use

You agree to use the Service only for its intended purpose of tennis coaching, analysis, and player development. You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Interfere with or disrupt the Service or servers connected to the Service.
  • Use automated scripts, bots, or scrapers to access or collect data from the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to develop a competing product or service.
  • Resell, redistribute, or sublicense access to the Service without our written consent.
  • Upload content unrelated to tennis or athletic development.
  • Misrepresent URSI ratings or AI-generated analysis as official ratings from any sanctioned body.
  • Use the Service to stalk, harass, or harm any person.
  • Circumvent any access controls, rate limits, or security measures.

8. Intellectual Property

8.1 Coach Mode's Property

The Service, including its design, software, algorithms, branding, logos, documentation, and all proprietary technology, is the property of Coach Mode and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

8.2 URSI Rating System

The URSI (Universal Rating of Stroke Improvement) rating system, its methodology, algorithms, and presentation are the proprietary intellectual property of Coach Mode. You may not reproduce, reverse-engineer, or create derivative rating systems based on URSI without our written consent.

8.3 AI-Generated Analysis

Analysis text, ratings, recommendations, drills, and other outputs generated by the AI are provided to you as part of the Service. You may use these outputs for your personal coaching and player development purposes. You may not commercially redistribute AI-generated analyses at scale or represent them as your own proprietary methodology.

9. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to:

  • Clerk (authentication and identity management)
  • Google Gemini (AI video analysis)
  • Cloudflare R2 (video and file storage)
  • Vercel (hosting and deployment)
  • Resend (transactional email)

Your use of the Service is subject to the terms and privacy policies of these third-party providers. Coach Mode is not responsible for the actions, content, or data practices of third-party service providers. We are not liable for any damages arising from third-party service outages, data breaches at third-party providers, or changes to third-party service terms.

10. Service Availability

10.1 No Uptime Guarantee

Coach Mode provides the Service on an “as available” basis. We do not guarantee any specific level of uptime, availability, or performance. The Service may be temporarily unavailable due to maintenance, updates, server issues, third-party service outages, or other factors beyond our control.

10.2 Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Payment and Subscriptions

(This section will be updated when paid subscription tiers are introduced.)

If and when Coach Mode introduces paid subscription plans, this section will govern billing, payment, refund policies, and subscription terms. By continuing to use the Service after paid plans are introduced, you agree to the applicable pricing and payment terms.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at legal@coachmode.app or through account settings. Upon termination:

  • Your account will be deactivated.
  • Your uploaded videos will be deleted in accordance with our standard retention schedule (14 days from upload) or immediately upon request.
  • Your analysis data may be retained in anonymized form for product improvement unless you request complete deletion.
  • Coach-student relationships will be severed, and students will be notified.

12.2 Termination by Us

We may suspend or terminate your account at any time if:

  • You violate these Terms, our Privacy Policy, or our Acceptable Use Policy.
  • You upload inappropriate content, particularly involving minors.
  • We are required to do so by law or legal process.
  • We reasonably believe your account poses a safety risk to other users.
  • Your account has been inactive for more than 12 consecutive months.

We will make reasonable efforts to notify you before or promptly after termination, except where prohibited by law or where notice could cause harm (e.g., child safety concerns).

12.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Sections 2.1 (Disclaimers), 5.1 (License Grant, to the extent needed for data already processed), 8 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), and 16 (General Provisions) survive termination.

13. Limitation of Liability

13.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED ANALYSIS.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • AI-generated analysis, ratings, or recommendations will be accurate, complete, or useful.
  • The Service will meet your specific coaching, training, or competitive objectives.
  • Defects in the Service will be corrected.
  • The Service is free of viruses or other harmful components.

13.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COACH MODE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities.
  • Personal injury or property damage arising from your use of the Service.
  • Any errors or inaccuracies in AI-generated analysis.
  • Unauthorized access to or alteration of your data.
  • Any conduct of third parties on or related to the Service.
  • Any decision made in reliance on information provided by the Service, including but not limited to training decisions, competition readiness assessments, or player development choices.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO COACH MODE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13.3 Assumption of Risk

You acknowledge that participation in tennis and other athletic activities involves inherent risks of physical injury. Coach Mode is not responsible for any injury sustained during training, practice, or competition, regardless of whether the activity was influenced by AI-generated analysis, recommended drills, or coaching advice delivered through the Platform.

14. Indemnification

You agree to indemnify, defend, and hold harmless Coach Mode and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or violation of these Terms.
  • Your User Content, including any claims that your content infringes the rights of any third party.
  • Your failure to obtain necessary consents for video recording or upload.
  • Your violation of any applicable law or regulation.
  • Any dispute between you and a student, parent, or other user of the Service.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@coachmode.app and attempt to resolve the dispute informally for at least thirty (30) days.

15.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and judgment on the arbitration award may be entered in any court having jurisdiction.

15.3 Class Action Waiver

YOU AND COACH MODE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

15.4 Exceptions

The following disputes are exempt from arbitration: (a) claims that may be brought in small claims court; (b) claims for injunctive or equitable relief related to intellectual property; (c) disputes related to the safety of minors.

15.5 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Recording Consent Policy, constitute the entire agreement between you and Coach Mode regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

16.5 Notices

We may provide notices to you via email to the address associated with your account, through in-app notifications, or by posting on the Service. You agree that electronic notices satisfy any legal requirement that notices be in writing.

16.6 Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Service or by email at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may request account deletion.
